The Institute of Company Secretaries of India (ICSI) on December 24, 2025, issued the notification regarding the Advisory W.R.T. Form MGT-7/MGT-7A Certification Under MCA V3 Portal.
The following has been stated namely: -
• MCA has deployed annual filing forms on the MCA 21 V3 portal, integrating Form MGT-8 certification into E-Form MGT-7 as a static field under the Companies (Management and Administration) Amendment Rules, 2025.
• As per MCA FAQs (Lot 3, FAQ No. 37), any qualifying remarks related to compliance may currently be added through the Optional Attachment in Form MGT-7, with reference to the embedded MGT-8 portion.
• Effective December 01, 2025, the definition of Small Company has been revised, and Form MGT-7A does not presently provide a specific field for MGT-8 certification (where applicable).
• Due to the absence of clear designated fields and to ensure proper disclosure, additional certification is considered necessary for maintaining due diligence and professional credibility.
• Therefore, it is advised to continue issuing MGT-8 certification on the letterhead of a Peer Reviewed Practice Unit, generate UDIN, and attach it as an optional attachment to Form MGT-7 and MGT-7A, until MCA issues further clarification or rules.
